Sworn Translation of Commercial Contracts for Spain

Official sworn translations of commercial contracts and business agreements written in English or Spanish, regardless of the country of origin, for companies, professionals and individuals who need to submit contractual documents in Spain or abroad.

Sergio Boix Mira is Spanish Sworn Translator of English No. 4473, appointed by the Spanish Ministry of Foreign Affairs. He translates every document personally and provides a professional and confidential service.

Contractual obligations between businesses and professionals

This page covers contracts governing commercial obligations between companies, professionals or parties to a business transaction. It includes agreements relating to services, supply, distribution, agency, confidentiality, cooperation and the acquisition of assets or shares, together with other B2B arrangements.

The category is distinct from corporate documentation. Articles, registers, company certificates and purely corporate resolutions record the existence, structure or governance of a company and belong to the corporate documents service. This page focuses on contractual obligations assumed between parties.

Service agreements

Professional services, consultancy, outsourcing, service provision and certain independent contractor arrangements can be translated where their context is commercial rather than employment-related. An independent contractor is not automatically treated as equivalent to a Spanish self-employed worker; the translation preserves the meaning arising from the document and its jurisdiction.

Distribution, agency and commercial representation

Distribution agreements, agency agreements and commercial representation agreements may address territory, targets, commission, exclusivity, supply, termination and post-termination duties. A foreign contractual concept is not automatically replaced with an exact Spanish legal category.

NDAs and confidentiality agreements

An NDA or Non-Disclosure Agreement generally governs the handling and disclosure of confidential information between parties. The sworn translation reproduces the definitions, exceptions, obligations and periods stated in the source. The service does not include advice on the validity or scope of any clause.

Joint ventures and cooperation agreements

The term joint venture may be retained where appropriate. It does not by itself imply a particular Spanish legal form. The document is translated in light of its wording, parties, jurisdiction and the transaction described.

Share Purchase Agreements and Asset Purchase Agreements

A Share Purchase Agreement normally concerns the contractual acquisition of shares, while an Asset Purchase Agreement focuses on the acquisition of assets. Both may require terminology consistent with the transaction’s corporate documents. Where real estate is central to the transaction, the relevant material belongs to the property documents service.

Shareholder agreements and corporate records

Shareholder agreements can be covered here where their main function is to set contractual rights and obligations between shareholders. They should not be confused with the register of shareholders, company resolutions, articles or other constitutional records, which belong to the Corporate category.

Documents covered by other services

Employment contracts, payslips and employer letters are covered as employment documents. Deeds, mortgages, Land Registry extracts and contracts whose main subject is real estate belong to Property. Statements, balance certificates and transaction records belong to banking and financial documents. Documents granting authority to act belong to powers of attorney.

Legal and commercial terminology

Commercial contracts may use terms such as consideration, representations, warranties, indemnity, liability, breach, termination, governing law, jurisdiction, assignment, force majeure, notice, deliverables and payment terms. The translation follows the source without inventing creative equivalents or Spanish legal categories that the contract does not establish.

English-language contracts for use in Spain

UK commercial contracts, US business agreements, NDAs, service agreements, distribution and agency agreements, SPAs, APAs and joint venture agreements can be translated for use in Spain where required. Documents from Ireland, Canada, Australia and other countries are also covered.

Spanish contracts for use abroad

Spanish commercial contracts, service, distribution, agency, supply and franchise agreements, confidentiality agreements, shareholder arrangements and other business contracts can be translated into English. For use outside Spain, requirements should be confirmed beforehand with the receiving authority, company or institution.

Sworn translation and legal advice

Sergio provides sworn translation services. He does not draft contracts, review their validity, negotiate clauses, interpret their legal effects, advise on governing law, determine jurisdiction or certify enforceability. These matters belong to lawyers or other appropriately qualified professionals.

Apostille and legalisation

A sworn translation and an apostille or legalisation are separate matters. Commercial contracts do not always require an apostille. Requirements may depend on the document, signatures, country, intended use and receiving authority or institution, and should be checked for the individual case.

Quote from a PDF, scan or photograph

You can send a PDF, scan or clear photographs of every page for a quote. These formats allow the work to be assessed but may not always be sufficient for the final procedure. The receiving body may require an original, certified copy or another formality.

Confidential and accurate handling

Contracts often contain sensitive commercial information. They are handled confidentially, with attention to company names, dates, amounts, definitions, schedules, signatures and cross-references. Terminology is kept consistent throughout the agreement and its appendices.

How it works

  1. Send the document. Provide a PDF, scan or clear photographs and state the country and intended use.
  2. Receive a quote and timescale. Price, turnaround and delivery method are confirmed before work begins.
  3. Sworn translation. The contract and schedules are translated and checked with close attention to terminology.
  4. Delivery. You receive the sworn translation in the agreed format and, where required, the paper original.

An urgent service may be available where length, legibility and current capacity allow.
